By accessing or using the DispatchIQ platform ("Platform"), including the web application, mobile apps, TechAssist Pro, Hazard Scan, and associated services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. DispatchIQ LLC ("Company," "we," "us") reserves the right to modify these Terms at any time with notice provided through the Platform. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
DispatchIQ is an AI-powered home services marketplace that connects homeowners with licensed, independent technicians for residential services including plumbing, electrical, HVAC, appliance installation, and related trades. The Platform provides job matching via Merit Matrix scoring, AI-based work verification, escrow payment processing through Stripe Connect, fleet logistics coordination, Smart Dispatch routing, AI diagnostic tools (TechAssist Pro), home safety scanning (Hazard Scan), and part verification and matching.
You must create an account to use certain features. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate, current, and complete information during registration and update it as necessary. Each individual may maintain only one account. Accounts are non-transferable. You must notify us immediately of any unauthorized access to or use of your account. DispatchIQ reserves the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.
Technicians, drivers, and service professionals using the Platform are independent contractors, not employees, agents, joint venturers, or representatives of DispatchIQ LLC. Nothing in these Terms creates an employment relationship. Service Providers set their own schedules, choose which jobs to accept or decline, use their own tools and equipment, may work with competing platforms simultaneously, maintain their own business licenses and insurance, and are responsible for their own taxes, including self-employment tax. DispatchIQ does not control the manner or method by which Service Providers perform their work.
The Platform includes AI-powered features such as Hazard Scan (home safety analysis), Smart Dispatch (job routing and technician matching), TechAssist Pro (diagnostic assistance), part matching and verification, and AI-based job completion verification. These features are assistive tools designed to supplement, not substitute for, professional judgment. AI outputs may contain errors or inaccuracies. Technicians remain solely responsible for their professional assessments, diagnoses, and work quality. Homeowners should not rely exclusively on AI-generated safety scans or recommendations in lieu of professional inspection. DispatchIQ makes no warranty regarding the accuracy, completeness, or reliability of AI-generated outputs.
Homeowners pay zero platform fees. Flex Technicians pay a 10% platform fee on completed jobs. Sync Technicians pay a 20% Sync Fee on completed jobs in exchange for additional services including transit coordination, pre-staged parts, and priority dispatch. All payments are processed through Stripe Connect. Funds are held in escrow until AI verification confirms job completion. Payouts are issued according to the Stripe Connect Agreement terms, typically within 2 business days after escrow release. Refunds for homeowners are handled on a case-by-case basis through the Platform's dispute resolution process. DispatchIQ may modify fee structures with 30 days' written notice to affected users.
The Platform, including its software, design, logos, trademarks, documentation, AI models, Merit Matrix algorithms, and all related intellectual property, is owned by DispatchIQ LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform in accordance with these Terms. You retain ownership of any content you submit to the Platform, including photos, reviews, and profile information. By submitting content, you grant DispatchIQ a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and distribute such content in connection with operating and improving the Platform. You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Platform without prior written consent.
DispatchIQ LLC provides a technology marketplace that facilitates connections between homeowners and independent service professionals. DispatchIQ does not provide, perform, or guarantee any services listed on the Platform. All services are performed under a direct agreement between the homeowner and the Service Provider. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCHIQ LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES. DispatchIQ's total aggregate liability for all claims arising out of or related to these Terms or the Platform shall not exceed the platform fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
DispatchIQ does not guarantee uninterrupted, secure, or error-free operation of the Platform. The Platform may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our control. We will make commercially reasonable efforts to provide advance notice of planned maintenance. DispatchIQ shall not be liable for any loss or damage resulting from Platform unavailability, including missed job opportunities or delayed communications.
Users are encouraged to resolve disputes directly through the Platform's built-in dispute resolution system. If a dispute cannot be resolved informally, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Oakland County, Michigan, or at another mutually agreed location. YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All dispute resolution proceedings will be conducted only on an individual basis. Either party may bring qualifying claims in small claims court. You may opt out of this arbitration provision by sending written notice to legal@dispatchiq.ai within 30 days of first accepting these Terms.
You may terminate your account at any time by using the account deletion feature within the Platform or by contacting support@dispatchiq.ai. DispatchIQ may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or inactivity exceeding 12 months, with notice where practicable. Upon termination, your right to use the Platform ceases immediately. DispatchIQ will retain your data for a period consistent with our Privacy Policy and as required by applicable law, after which it will be securely deleted. Outstanding payment obligations survive termination.
These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles. Any litigation not subject to arbitration shall be brought exclusively in the state or federal courts located in Oakland County, Michigan, and you consent to personal jurisdiction in those courts.
