Terms of Service

Effective Date: January 1, 2025

1. Acceptance of Terms

By accessing or using the DispatchIQ platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. DispatchIQ LLC ("Company," "we," "us") reserves the right to modify these Terms at any time with notice provided through the Platform.

2. Platform Description

DispatchIQ is an AI-powered home services marketplace that connects homeowners with service technicians. The Platform provides job matching, AI-based work verification, escrow payment processing, fleet logistics coordination, and related services.

3. User Accounts

You must create an account to use certain features. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and update it as necessary.

4. Service Fees

Homeowners pay zero platform fees. Flex Technicians pay a 10% platform fee on completed jobs. Sync Technicians pay a 20% platform fee on completed jobs in exchange for additional services including transit, pre-staged parts, and priority dispatch.

5. Payment Processing

Payments are processed through Stripe Connect. Funds are held in escrow until AI verification confirms job completion. Payouts are issued according to the Stripe Connect Agreement terms.

6. AI Verification

Jobs are verified using multi-provider AI photo analysis. While we strive for accuracy, AI verification is provided as-is and disputes may be escalated for human review. Verification results are used to determine escrow release.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCHIQ LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

8. Governing Law

These Terms are governed by the laws of the State of Michigan. Any disputes shall be resolved in the courts of Oakland County, Michigan.

9. Independent Contractor Status

Technicians and service professionals ("Service Providers") using the DispatchIQ platform are independent contractors, not employees, agents, or representatives of DispatchIQ LLC. DispatchIQ does not supervise, direct, or control the manner or method by which Service Providers perform services.

Service Providers:

  • Set their own schedules and choose which jobs to accept or decline
  • Use their own tools, equipment, and vehicles
  • May adjust suggested pricing based on their professional assessment
  • Are free to work with competing platforms simultaneously
  • Maintain their own business licenses and insurance
  • Are responsible for their own taxes (see W-9 and 1099 obligations)

DispatchIQ's role is limited to providing a technology platform that connects homeowners with independent Service Providers.

10. Platform Disclaimer

DispatchIQ LLC provides a technology marketplace that facilitates connections between homeowners and independent service professionals. DispatchIQ does not:

  • Provide, perform, or guarantee any services listed on the platform
  • Employ, supervise, or control any Service Provider
  • Guarantee the quality, safety, timeliness, or legality of services performed
  • Guarantee the accuracy of Service Provider credentials, though we make reasonable efforts to verify them
  • Assume responsibility for any property damage, personal injury, or financial loss arising from services

All services are performed under a direct agreement between the homeowner and the Service Provider. DispatchIQ is not a party to this agreement.

11. Expanded Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

a) DispatchIQ LLC shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

  • Services performed or not performed by Service Providers
  • Property damage or personal injury occurring during or as a result of services
  • Disputes between homeowners and Service Providers
  • Inaccurate information provided by any user
  • Platform downtime, data loss, or technical failures

b) DispatchIQ's total aggregate liability shall not exceed the platform fees paid by you in the twelve (12) months preceding the claim.

c) These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).

12. Mutual Indemnification

a) Service Provider Indemnification: Service Providers agree to indemnify, defend, and hold harmless DispatchIQ LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Their performance or failure to perform services
  • Their violation of any law, regulation, or code
  • Their breach of these Terms
  • Any injury, death, or property damage caused by their actions or omissions
  • Their misrepresentation of qualifications, licenses, or insurance

b) Homeowner Indemnification: Homeowners agree to indemnify, defend, and hold harmless DispatchIQ LLC from and against any claims arising from:

  • Conditions of their property not disclosed to the Service Provider
  • Instructions they provide to Service Providers
  • Their breach of these Terms
  • Their failure to pay for services rendered

13. Dispute Resolution and Arbitration

a) Direct Resolution: Users are encouraged to resolve disputes directly with each other through the platform's dispute resolution system.

b) Mediation: If direct resolution fails, DispatchIQ may offer optional mediation services at no cost to either party.

c) Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the platform that cannot be resolved through direct resolution or mediation shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

d) CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

e) Small Claims Exception: Either party may bring qualifying claims in small claims court.

f) Governing Law: These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any litigation not subject to arbitration shall be brought exclusively in the courts of Oakland County, Michigan.

14. Insurance Requirements for Service Providers

Service Providers must maintain the following insurance coverage at all times while active on the platform:

  • a) General Liability Insurance: Minimum $1,000,000 per occurrence / $2,000,000 aggregate
  • b) Workers' Compensation Insurance: As required by applicable state law (if employing others)
  • c) Commercial Auto Insurance: If using a vehicle for platform services
  • d) Professional Liability/Errors & Omissions: Recommended for licensed trades

Service Providers must:

  • Upload a valid Certificate of Insurance (COI) during onboarding
  • Maintain current insurance coverage at all times
  • Notify DispatchIQ immediately if coverage lapses or is cancelled
  • Update insurance documents before expiration

DispatchIQ reserves the right to suspend or deactivate accounts with expired or insufficient insurance coverage. DispatchIQ may verify insurance status at any time.

15. Licensing and Certification Requirements

For regulated trades (including but not limited to plumbing, electrical, HVAC, roofing, pest control, locksmith, garage door, solar, and pool services), Service Providers must:

  • a) Hold all licenses and certifications required by their state, county, and municipality
  • b) Provide license numbers and documentation during onboarding
  • c) Maintain current and valid licenses at all times
  • d) Not perform work outside the scope of their license

DispatchIQ uses AI-assisted verification and may perform periodic license audits. Operating without required licenses is grounds for immediate account termination and may be reported to relevant authorities.

16. Pricing and Fees

a) Suggested Pricing: DispatchIQ provides market-based pricing suggestions to assist Service Providers. These suggestions are based on local market data, service complexity, and demand factors.

b) Price Adjustment: Service Providers may adjust the final price based on their professional assessment of the job scope. Service Providers set their own rates as independent professionals.

c) Platform Fees: DispatchIQ charges the following platform fees, deducted from Service Provider payouts:

  • Flex Tech: 10% of job total
  • Sync Tech: 25% of job total
  • Homeowners: 0% (no additional platform fees)

d) Fee Changes: DispatchIQ may modify fee structures with 30 days' written notice.
